Electronic Signature Disclosure & Consent Notice

1. Definitions
The following definitions apply to this Notice:
“Customer” means the organization or legal entity subscribed to the Service by execution of an Order Form with Guru under which the Platform and Service are made available to Users. The Customer legal entity may be identified within the “About this Software” link on the Platform.
“eIDAS Regulation” means Regulation (EU) No 910/2014 on electronic identification and trust services for electronic transactions in the internal market.
“Electronic Signature” means any electronic sound, symbol, process, or action that a person uses to sign or approve a document electronically, such as clicking an “I Agree” button, typing a name, or applying a digital signature, and that is intended by the person to serve as their signature. Depending on how it is created, an Electronic Signature may be a simple electronic signature or, where supported, a more secure form of electronic signature under applicable law.
“Guru” means the Service Provider legal entity identified in the applicable Customer Order Form. The Service Provider legal entity may be identified within the “About this Software” link on the Platform.
“Platform” means the Software Services, an all-in-one HR software platform that may include time and attendance, payroll, benefits administration, and human resources information management, and may provide access to Third Party Service Provider services via the Website, Kiosk, or Mobile App.
“HR Department or System Administrator” means the individuals within Customer’s organization (typically your employer) responsible for administering the Platform.
“Order Form” has the meaning ascribed to it in the applicable online Master Agreement between Guru and Customer.
“Platform” has the meaning ascribed to it in Guru’s Terms of Service.
“Third Party Service Provider” has the meaning ascribed to it in the online version of the Master Agreement between Guru and Customer.
“Service” has the meaning ascribed to it in the applicable online Master Agreement between Guru and Customer.
“Website” means the specific subdomain(s) assigned to Customer by Guru and/or Third Party Service Provider websites made accessible by Guru for Customer’s use of the Software Services and the Service.
2. Consent to Electronic Transactions
By accessing or using the Platform or Service, you acknowledge and agree that:
You are providing your affirmative consent to conduct transactions electronically.
You understand that electronic signatures are legally binding and enforceable under applicable laws, including the U.S. Electronic Signatures in Global and National Commerce Act (“ESIGN Act”), the Uniform Electronic Transactions Act (“UETA”), and, where applicable, the EU eIDAS Regulation.
Your access to the Platform and Service is authorized by Customer and will remain effective until Customer’s Order Form expires or terminates, or your access is modified or revoked by Customer or Guru.
For individuals located in the European Union, electronic signatures and electronic records used through the Platform and Service are intended to comply with the requirements of the eIDAS Regulation.
You acknowledge and agree that:
- An electronic signature shall not be denied legal effect or admissibility as evidence in legal proceedings solely because it is in electronic form;
- Where applicable, electronic signatures used through the Platform may constitute simple electronic signatures or advanced electronic signatures under the eIDAS Regulation;
- The legal effect, evidentiary weight, and enforceability of an electronic signature may vary depending on the type of electronic signature used and the requirements of applicable local law; and
- You consent to the use of electronic records and electronic signatures in accordance with the eIDAS Regulation and applicable EU member state laws.
3. Hardware and Software Requirements
To access, execute, and retain electronically signed documents, you must have:
- A device with internet access (e.g., computer, tablet, or smartphone);
- A supported web browser (e.g., Chrome, Firefox, Safari, or Edge);
- Software capable of viewing PDF documents (e.g., Adobe Reader);
- Sufficient storage to save electronic records or access to a cloud-based storage solution.
- Access to the Platform requires an active subscription under an Order Form between Guru and Customer.
4. Right to Withdraw Consent
You have the right to withdraw your consent to electronic signatures at any time. To withdraw consent, you must contact your HR Department or System Administrator.
If you withdraw consent:
- Future transactions may be completed using paper-based methods;
- Processing delays may occur; and
- Certain features of the Service may no longer be available to you.
5. Record Retention and Access
Guru will retain electronic records of signed documents for a minimum period of one (1) year or longer as required by applicable law or Customer-defined retention policies. You may download and save a copy of any document you sign electronically.
For EU users, electronic records are stored in a manner intended to ensure their integrity, accuracy, and accessibility for future reference in accordance with the eIDAS Regulation and applicable EU member state law.
If you require access to a document after the applicable retention period, please contact your HR Department or System Administrator.
6. Legal Effect and Acknowledgment
By clicking “I Agree,” electronically signing, or otherwise proceeding with an electronic transaction, you confirm that:
- You have read and understand this Notice;
- You meet the hardware and software requirements described above; and
- You consent to the use of electronic records and electronic signatures and understand that such signatures are legally binding.
- If you do not agree to this Notice, do not proceed with electronic signing and instead contact your HR Department or System Administrator to request alternative methods for completing transactions.
